Terms of Service

Effective Date: February 8, 2026

These Terms of Service ("Terms") govern your access to and use of the FieldContent website, mobile application, and related services (collectively, the "Service") operated by Lovable Gazelle LLC ("Company," "we," "our," or "us"), a Florida limited liability company. Please read these Terms carefully before using the Service.

By creating an account, joining our waitlist, or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

The Service is intended for business use by individuals who are at least 18 years of age. By using the Service, you represent and warrant that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your company.

2. Description of Service

FieldContent is a SaaS platform that helps field service contractors capture, manage, and distribute marketing content from job sites. The Service includes:

  • A mobile application for field technicians to capture guided photos at job sites
  • An admin dashboard for content review and approval
  • Content distribution tools for marketing teams and agencies
  • AI-powered content suggestions and enhancements (when available)

Features may vary by subscription plan and may be modified, added, or removed over time.

3. Beta Program

The Service is currently in beta. By participating in the beta program, you acknowledge and agree that:

  • The Service may contain bugs, errors, or incomplete features
  • Features, functionality, and user interface may change without prior notice
  • We may need to reset data or accounts during the beta period for technical reasons
  • Beta pricing is promotional and subject to change at general availability
  • Service availability is not guaranteed during the beta period
  • Your feedback may be used to improve the Service without compensation

4. Account Registration and Security

To use the Service, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or use of your account
  • Keeping your account information up to date

We reserve the right to suspend or disable accounts that we reasonably believe are being used in violation of these Terms.

5. Content Ownership and License

5.1 Your Content

You retain full ownership of all photos, text, and other content you upload to the Service ("Your Content"). By uploading Your Content, you grant Lovable Gazelle LLC a limited, non-exclusive, revocable license to store, process, and display Your Content solely as necessary to provide the Service to you. We will not sell, sublicense, or use Your Content for any purpose unrelated to the Service without your explicit written consent.

5.2 Our Content

The Service, including its design, features, code, documentation, and branding, is owned by Lovable Gazelle LLC and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our prior written consent.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful or fraudulent purpose
  • Upload content that infringes on the intellectual property rights of others
  • Upload content that is obscene, defamatory, or harmful
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Interfere with or disrupt the proper functioning of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, redistribute, or provide access to the Service to unauthorized third parties
  • Use automated tools (bots, scrapers) to access the Service without our written consent

7. Subscription, Billing, and Cancellation

7.1 Pricing and Payment

Paid plans are billed on a monthly or annual basis as selected during signup. All payments are processed securely by Stripe. Prices are listed in US dollars and do not include applicable taxes. We reserve the right to change pricing with 30 days written notice to existing subscribers.

7.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan at renewal.

7.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of your paid period. We do not provide prorated refunds for partial billing periods unless required by applicable law.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOVABLE GAZELLE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Indemnification

You agree to indemnify, defend, and hold harmless Lovable Gazelle LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion for any reason, including violation of these Terms, with or without notice. Upon termination:

  • Your right to use the Service will immediately cease
  • You may request an export of Your Content within 30 days of termination
  • After 30 days, Your Content may be permanently deleted
  • Any outstanding fees remain payable

You may terminate your account at any time by contacting us or through your account settings.

12. Dispute Resolution

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, either party may pursue resolution through binding arbitration administered under the rules of the American Arbitration Association, conducted in the State of Florida. Each party shall bear its own costs unless otherwise determined by the arbitrator.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Florida.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and notify you via email or through the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lovable Gazelle LLC regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights at any time without notice.
